Nominee resident director India, Section 149(3) solved.
Section 149(3) Companies Act 2013: every Indian company must have at least one director who has stayed in India for 182 days in the preceding FY. Foreign parent with no India-resident person needs a nominee resident director. BQP provides this as a standard governance service — CA-qualified resident director, standard indemnity + fiduciary scope, fully remote arrangement, replacement workflow. Here's exactly how it works.

/ What Section 149(3) requires
The core rule.
- Every company incorporated under Companies Act 2013 must have minimum 2 directors (Pvt Ltd) or 3 directors (Public Ltd).
- At least ONE director must be a 'resident of India' — defined as a person who has stayed in India for at least 182 days during the preceding FY.
- Non-resident Indians (NRIs) with Indian passport but non-resident status do NOT qualify.
- Foreign citizens who are tax-residents of India (physically present 182+ days) qualify.
- Non-compliance consequences: Section 164 director disqualification risk, ROC filing blockage, inability to incorporate / sign filings.
/ When foreign companies need nominee director
Common scenarios.
- Foreign parent incorporating Indian WOS: parent appoints 2 foreign directors from its own leadership team. Needs 1 India-resident director — BQP provides.
- India-resident director resigns: company left without resident director. 30 days to appoint replacement — BQP provides temporary / long-term.
- Expat executive relocates out of India: director who was India-resident loses that status after 180+ days abroad. Replacement needed.
- Dormant Indian subsidiary: subsidiary not actively operated but still needs 1 resident director for compliance.
/ Scope of nominee director's role
What they do and don't do.
What nominee director DOES:
- Named as director in Indian company's records (MCA / ROC filings).
- Holds valid DIN (Director Identification Number) + DSC (Digital Signature Certificate) issued in India.
- Signs required ROC filings: AOC-4, MGT-7, DIR-12, PAS-3, MGT-14 as applicable.
- Attends board meetings (video / telephonic) when quorum needs resident director.
- Signs resolutions requiring resident director signature.
- Files annual DIR-3 KYC.
- Signs required bank KYC / banking documents for Indian company.
What nominee director does NOT do:
- Participate in business operations / strategy / commercial decisions.
- Sign commercial contracts / customer agreements / vendor contracts.
- Represent the company publicly.
- Access operational funds / treasury / payroll.
- Make day-to-day business judgments.
Nominee director's role is purely statutory governance — satisfying Section 149(3), not running the business.
/ Legal structuring + indemnity
What protects everyone.
- Nominee Director Agreement: between foreign parent + BQP nominee — defines scope, fee, indemnity.
- Director's Letter of Appointment: standard Indian company board resolution appointing nominee as director.
- Letter of Resignation: pre-signed, undated, held in escrow — can be used immediately if nominee needs to be replaced.
- Indemnity from foreign parent: foreign parent indemnifies nominee against claims arising from acts of other directors / company's operations. Standard legal protection.
- Nominee's indemnity from BQP: as a firm, we indemnify our nominee partners.
- D&O insurance (optional): foreign parent may purchase D&O insurance covering Indian subsidiary directors.
- Section 164 disqualification protection: nominee director complies with annual DIR-3 KYC, DIR-8, MBP-1 to avoid Section 164 risk from the Indian company's non-compliance.
/ Replacement + transition
When nominee changes.
- Reasons for replacement: nominee's own change of circumstances; foreign parent prefers different nominee; appointment of new India-resident director from parent group.
- Resignation: nominee submits DIR-11 within 30 days of resignation.
- Appointment of successor: board resolution + DIR-12 within 30 days.
- Section 164 disqualification check: successor must not be disqualified.
- Bank KYC refresh: Indian bank requires KYC update for new signatory.
- MCA records updated: company's director list updated.
Standard replacement timeline: 30-45 days end-to-end.
