/ Section 115JB MAT core
The 15% alternative.
- MAT (Minimum Alternate Tax) applies to companies where tax under standard regime (25% / 22% / 30%) is LOWER than 15% of book profit.
- In that case: MAT at 15% + surcharge + cess = ~15.6% effective applies instead.
- Book profit = net profit per P&L adjusted for specific additions / deletions (Explanation 1 to Section 115JB).
- MAT credit: excess MAT paid over standard tax carried forward 15 years + can be set off against future years when standard tax exceeds MAT.
- Section 115BAA / 115BAB opt-in exempts from MAT: specific legislative design. Mature companies in 115BAA regime (22%) + new manufacturing in 115BAB (15%) are MAT-free.
/ Form 29B specifics
The CA certificate.
- Form 29B: Chartered Accountant certificate on book profit + MAT computation.
- Filed before ITR (ITR-6 for companies).
- CA certifies: book profit computation per Explanation 1 adjustments + MAT comparison + MAT credit carried forward.
- ICAI UDIN mandatory for Form 29B signing.
/ Who's exempt from MAT
The carve-outs.
- Companies that opted into Section 115BAA (22%) - MAT does not apply from year of opt-in.
- Companies that opted into Section 115BAB (15%) - MAT does not apply.
- Companies in SEZ with full Section 10AA deduction - specific carve-out.
- Specific small companies (certain thresholds).
- Companies without book profit (loss-making or specific negative adjustments).
/ Common Form 29B scenarios
Where it matters.
- Company in standard regime (25% / 30%) with substantial Section 10AA SEZ / Section 80 deductions - standard tax may be below 15% effective → MAT applies.
- Loss-making company with timing differences - book profit may still be positive while taxable income is negative.
- Specific Section 10(23FBA) / 10(23FBB) exempt income reversed for book profit purposes.
- Specific accounting policy changes affecting book profit.
- Section 115JB MAT impact decision in opt-in modelling for 115BAA / 115BAB.
