Company Struck Off Under Section 248: Notice, Response, Revival, respond to STK-1 or restore through the NCLT.

The Registrar can strike a company off the register under Section 248 if it has not started business within a year of incorporation, or has not carried on business or operations for two years without applying for dormant status. It starts with a notice (STK-1). If you miss that window, the company is dissolved and can only be restored through the NCLT under Section 252.

/ The notice stage

STK-1 and the 30-day window.

  • The Registrar sends a notice to the company and its directors and publishes it.
  • The company has 30 days to show cause, usually by proving it is in business and filing all overdue returns.
  • If there is no satisfactory reply, the name is struck off and published in the Official Gazette.

/ After strike-off

What it means.

  • The company is dissolved. Its bank accounts are frozen and it cannot contract or sue.
  • Directors' liability continues, and they may face Section 164(2) disqualification.
  • Assets of a dissolved company can vest in the government.

/ Restoration under Section 252

The way back.

  • Any person aggrieved by the Registrar's order can appeal to the NCLT within three years.
  • The company, a member, creditor or workman can apply within 20 years of the strike-off publication if the company was carrying on business or it is otherwise just.
  • The NCLT usually orders restoration on condition that all overdue filings are made and costs are paid.
  • After the order, file it with the Registrar in INC-28 within 30 days.

/ Voluntary strike-off (STK-2)

If you want to close.

  • If the company is genuinely inactive, a voluntary strike-off is cleaner than waiting for STK-1.
  • Requires no liabilities, consent of 75% of members by value, and filings up to the date the company stopped operating.
